• Escrow arrangement facilitation
• Export documentation assistance
• Logistics coordination
• Transaction tracking and communication

2.2 What We Do Not Do

• We do not buy, sell, or own gold or precious metals
• We do not guarantee the quality, quantity, or value of any materials
• We do not provide financial, legal, or investment advice
• We do not guarantee successful completion of any transaction
• We do not act as a party to transactions between buyers and sellers

3. Eligibility Requirements

To use our services, you must:

• Be at least 18 years of age
• Have legal capacity to enter into binding contracts
• Provide accurate and complete information during registration
• Comply with all applicable laws and regulations in your jurisdiction
• Not be located in any country subject to sanctions or trade restrictions
• Successfully complete our Know Your Customer (KYC) verification process

We reserve the right to refuse service to anyone at our sole discretion.

4. User Obligations

4.1 General Conduct

When using our services, you agree to:

• Provide truthful, accurate, and complete information
• Maintain the confidentiality of your account credentials
• Notify us immediately of any unauthorized access

5. Fees & Payment

5.1 Fee Structure

Our fees are disclosed at the time of engagement and may include:

• Transaction Facilitation Fee: A percentage of the total transaction value (typically 3-5%), payable upon successful completion
• Standalone Verification Fee: A fixed fee for verification services only
• Additional Services: Fees for site inspections, expedited processing, or other special requests

5.2 Payment Terms

• Transaction fees are deducted from escrow upon successful completion
• Standalone service fees are payable in advance
• All fees are in US Dollars unless otherwise specified
• Fees are non-refundable except as expressly stated

5.3 Third-Party Costs

In addition to our fees, you are responsible for:

• Laboratory testing fees
• Logistics and shipping costs
• Insurance premiums
• Government fees, taxes, and duties
• Bank transfer and wire fees

6. Limitations of Liability

6.1 Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that services will be uninterrupted or error-free
• Warranties regarding the accuracy of any information provided

6.2 Limitation of Liability

To the maximum extent permitted by law, Capital African Logistic LLC shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Actions or omissions of sellers, buyers, or third-party service providers
• Quality, quantity, or authenticity of precious metals (beyond our verification scope)
• Government actions, regulatory changes, or force majeure events

6.3 Assumption of Risk

You acknowledge that precious metals transactions involve inherent risks, including market volatility, counterparty risk, regulatory changes, and geopolitical factors. You assume all risks associated with your transactions.

7. Indemnification

You agree to indemnify, defend, and hold harmless Capital African Logistic LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Any dispute between you and any seller, buyer, or third party
• Your negligent or wrongful conduct

8. Dispute Resolution

8.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

8.2 Arbitration

Any dispute arising from these Terms or our services shall be resolved through binding arbitration administered by the American Arbitration Association in Houston, Texas. The arbitration shall be conducted in English.

8.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

8.4 Exceptions

Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.

9. Termination

9.1 Termination by You

You may terminate your use of our services at any time by providing written notice. Termination does not affect any obligations arising from transactions initiated prior to termination.

9.2 Termination by Us

We may suspend or terminate your access to our services at any time, with or without cause, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or suspicious activity
• Failure to provide required documentation
• At the direction of law enforcement or regulatory authorities

9.3 Effect of Termination

Upon termination, provisions regarding limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive, shall remain in effect.

10. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Capital African Logistic LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
