Please read these terms carefully before using our facilitation services.

Important Notice

Capital Africa Logistics is a facilitation company. We are facilitators, not sellers. We do not buy, sell, own, or take title to any commodities. All transactions are conducted directly between verified buyers and sellers with our coordination support.

1. Acceptance of Terms

By accessing or using the website, client portal, or services provided by Capital African Logistic LLC ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services.

These Terms constitute a legally binding agreement between you ("User," "Client," or "you") and the Company. We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms.

2. Description of Services

Capital Africa Logistics provides cross-border commodity facilitation services, including but not limited to: seller and buyer verification, laboratory testing coordination, export documentation preparation, secure logistics coordination, escrow service facilitation, and shipment tracking.

Important Disclaimer: We are facilitators, not sellers. Capital Africa Logistics does not buy, sell, own, or take title to any commodities. We act solely as an intermediary that connects verified buyers with verified sellers and coordinates the logistics, documentation, and verification processes required for cross-border commodity transactions.

We do not guarantee the availability, quality, or price of any commodities. All transactions are conducted directly between buyers and sellers, with our facilitation services supporting the process.

3. User Accounts and Registration

To access certain features of our platform, including the client portal, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or unlawful purposes.

4. User Obligations

By using our services, you agree to:

Provide truthful and accurate information in all communications, forms, and documentation submitted to us.

Comply with all applicable local, national, and international laws and regulations, including export/import regulations, anti-money laundering laws, and sanctions requirements.

Not use our services for any unlawful purpose, including money laundering, fraud, or the facilitation of illegal trade.

Cooperate with our verification and compliance processes, including providing requested documentation in a timely manner.

Not attempt to circumvent our security measures, access unauthorized areas of our platform, or interfere with the operation of our services.

Not misrepresent your identity, credentials, or business relationships.

5. Verification and Due Diligence

As part of our facilitation services, we conduct verification and due diligence processes on both buyers and sellers. While we make reasonable efforts to verify the legitimacy and credentials of parties involved in transactions, we do not guarantee the accuracy, completeness, or reliability of any verification results.

Our verification processes are informational in nature and do not constitute legal advice, financial advice, or an endorsement of any party. Users are encouraged to conduct their own independent due diligence before entering into any transaction.

6. Fees and Payment

Our facilitation fees will be disclosed and agreed upon before services are rendered. Payment terms are established on a case-by-case basis and documented in service agreements.

All fees are non-refundable unless otherwise specified in writing. Additional costs may apply for specialized services, expedited processing, or third-party fees (such as laboratory testing or logistics charges).

7. Intellectual Property

All content on this website, including text, graphics, logos, images, software, and other materials, is the property of Capital African Logistic LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

8. Limitation of Liability

To the fullest extent permitted by law, Capital African Logistic LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services, including but not limited to: loss of profits, loss of data, business interruption, or loss of goodwill.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

We are not liable for any losses resulting from: the actions or omissions of third parties, including sellers, buyers, logistics providers, or laboratory facilities; delays caused by regulatory authorities, customs, or government agencies; force majeure events; or failures in third-party systems or services.

9. Indemnification

You agree to indemnify, defend, and hold harmless Capital African Logistic LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or regulation.

10. Dispute Resolution

Any disputes arising from or related to these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall be conducted in Houston, Texas, United States. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

11. Termination

We reserve the right to terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use our services will immediately cease.

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, limitation of liability, indemnification, and dispute resolution.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
